1. Introduction

Welcome to Cryndex. These Terms of Use (“Terms”) govern your access to and use of the Cryndex Protocol (the “Protocol”), developed by Cryndex Labs Ltd. (“Cryndex Labs”, “we”, “our”, or “us”).
The Protocol is an open-source, decentralized software system designed to enable the creation and management of crypto-backed stablecoins.

By accessing, using, or interacting with the Cryndex Protocol, its associated smart contracts, or any related open-source repositories, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, do not use the Protocol.

2. Nature of the Cryndex Protocol

The Cryndex Protocol is open-source software made publicly available for educational and experimental purposes.
It is a permissionless set of smart contracts deployed on one or more blockchain networks that may enable users to mint, trade, or otherwise interact with tokens including, but not limited to, the Cryndex governance token (CRYX) and various stablecoins issued by or through the Protocol.

Cryndex Labs Ltd. does not operate or control the Protocol once deployed on-chain, and does not manage or custody user assets.

3. No Financial, Investment, or Legal Advice

All information and software provided by Cryndex Labs are for informational and technological purposes only.
Nothing on or related to the Protocol constitutes financial, investment, legal, or tax advice.
You are solely responsible for evaluating the risks and merits of any transaction or use of the Protocol.

4. No Liability for Losses

You acknowledge and agree that:

Cryndex Labs Ltd. does not guarantee the value, stability, or liquidity of CRYX or any stablecoin issued by or through the Protocol.
The value of CRYX, any stablecoin, or any other token associated with the Protocol may fluctuate significantly, and you may lose some or all of your assets.

Cryndex Labs Ltd. and its directors, employees, contractors, or affiliates shall not be liable for any losses, damages, or claims arising from:

Price fluctuations or devaluation of CRYX, stablecoins, or other tokens;
Errors or bugs in the Protocol software;
Smart contract exploits, hacks, or vulnerabilities;
Use, misuse, or inability to use the Protocol;
Third-party actions or integrations involving the Protocol.

Your use of the Protocol is at your own risk.

5. Open Source License and Use Restrictions

The Cryndex Protocol and associated code repositories are released as open-source software under the BUSL-1.1 License (the “License”).

Subject to the License terms:

You may view, copy, and modify the Cryndex Protocol software for non-commercial purposes.
Commercial use, replication, or deployment of the Cryndex Protocol or materially similar software for profit-making purposes is prohibited without express written consent from Cryndex Labs Ltd.
Any derivative works must include clear attribution to Cryndex Labs Ltd. and a link to the original repository.

6. No Control or Responsibility for Third Parties

The Protocol may interact with third-party applications, blockchain networks, or wallets.
Cryndex Labs Ltd. does not control or endorse any third-party services and is not responsible for their actions, omissions, or performance.

7. Regulatory and Jurisdictional Considerations

Users are responsible for ensuring that their use of the Cryndex Protocol complies with all applicable laws, regulations, and restrictions in their jurisdiction, including those governing cryptocurrencies, stablecoins, and digital assets.

Cryndex Labs Ltd. makes no representation that the Protocol is appropriate or available for use in any particular jurisdiction.

8. No Warranty

THE CRYNDEX PROTOCOL IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

CRYNDEX LABS LTD. MAKES NO REPRESENTATION OR WARRANTY THAT THE PROTOCOL OR ANY ASSOCIATED CODE IS SECURE, ERROR-FREE, OR WILL FUNCTION AS INTENDED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CRYNDEX LABS LTD., ITS DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, OR DATA) ARISING FROM OR RELATING TO YOUR USE OF THE PROTOCOL, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Cryndex Labs Ltd., its affiliates, officers, and employees from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your use or misuse of the Cryndex Protocol or your violation of these Terms.

11. Amendments

Cryndex Labs Ltd. may revise or update these Terms at any time by posting an updated version on its official website or repository.
Continued use of the Protocol after such updates constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Scotland.
